Senior Director Legal - FCPA The candidate will provide legal expertise to guide the company s actions and transactions with particular emphasis on our Anti-Corruption Compliance program. Duties and Responsibilities (Key Deliverables): Responsible for managing Company s Anti-Corruption compliance program (including Foreign Corrupt Practices Act, UK Anti-Bribery Act compliance) including drafting policies, guidance documents, negotiating agreements with OUS third parties, conducting training on the anti-corruption compliance and overseeing the Company s internal controls and auditing program. Manage company s OUS litigation, including products liability and employment litigation. Responsible for drafting international and domestic contracts related to technology licensing, acquisitions and asset and patent purchase agreements. Manage Company s Third Party Due Diligence program, including conducting due diligence on third party suppliers, distributors and contractors. Responsible for management of Company s Enterprise Risk Management Program. Keep fully informed of all new developments in corporate legal matters, including but not limited to employment and business law changes and assure that the company s leadership is fully advised on such legal matters. Assure that the corporation s legal rights are protected and that its operations are maintained within the limits prescribed by law. Prepare and negotiate consulting agreements with Company consultants, including healthcare professional consultants. Assist VP Legal in resolving corporate legal matters including internal investigations, human resources issues, competitive practices, intellectual property portfolio management, litigation and management of outside counsel. Serve as a legal representative for Company Business Units. Advise Company regulatory, marketing and sales teams on clearance strategies and management, drafting of company marketing literature, serve as approver of all such literature. Advise Company regulatory team on federal and international regulatory laws and guidance concerning the Company s marketing and distribution of its products. Serve as Company s legal liaison with the US Food and Drug Administration and similar OUS bodies. Know and applies the Quality System and any appropriate Federal and International Standards. Assist and support other employees, teams, and sales personnel as necessary.

The candidate should have JD degree from an accredited institution. 5-10 years of experience in a corporate legal environment or medical device industry. License to practice law in the state of Florida. International FCPA experience required. Demonstrated organizational skills. Demonstrated project management skills. Proficiency in technical writing and negotiation. Multi-lingual strongly preferred.
