Senior Corporate Counsel The candidate will be responsible for handling a variety of assigned legal projects in support of firm consumer and commercial business operations in the United States, Canada, and Puerto Rico. Will provide legal guidance and counsel to all levels of management in the conduct of business for the company. Report directly to the Associate General Counsel for firm. Stay current and pro-actively advise management on legal developments and proposed and existing legislation affecting the business. Prepare and revise paper and electronic contract forms for use with end-user of the company's products and services. Prepare, review and negotiate contracts involving sales, marketing, procurement, information technology, advertising, affinity relationships, etc. Review business practices and policies, and advises management of potential risks. Research and analyze various legal issues and render opinions. Work with intellectual property subject matter experts on product, trademark and copyright issues. Evaluate and advise the business on combating potential business interference/unfair competition practices of third parties. Coordinate and assist in representation of the company in legal disputes. Work on contracts and guidelines for independent authorized dealer program. Perform legal assignments that are somewhat complex and varied in nature, usually involving some evaluation, originality and/or ingenuity. Know and use the fundamental concepts, practices and procedures of the legal field. The candidate must have a Juris Doctorate Degree and admitted to the Bar Association of at least one of the United States and eligible to register as Authorized House Counsel in the State of Florida. Should have 10+ years of prior legal experience. Experience in the laws of both the United States and Canada is preferred. Working knowledge of laws and regulations applicable to direct and retail consumer sales, advertising, telemarketing and email marketing is needed. Working knowledge of consumer data protection and privacy law is preferred. Experience advising subscriber based businesses selling products and services to both businesses and consumers directly and through third parties including dealers, retailers and co-marketing promotional partners is required.
