Assistant General Counsel The candidate will manage and supervise the company s portfolio of litigation, including labor and employment, commercial, regulatory, and insured matters. Will participate in the selection and supervision of outside counsel when needed and to obtain the best possible representation in the most cost-effective manner. Provide counsel and guidance to internal clients on labor and employment law issues. Provide input into the management and resolution of legal issues pertaining to transactional, commercial, corporate and regulatory matters in a manner consistent with the company s business decisions and strategy. Provide support to the general counsel in maintaining an effective corporate compliance program and handling specific compliance matters. Participate in protecting the company by establishing and recommending risk and compliance standards and expectations while creating/supporting opportunities and paths to allow the company to execute strategy to the fullest extent. Provide support to the General Counsel in managing the external affairs compliance function. A proven ability to work well as a member of a team of senior executives in a company and with the ability to influence major decisions having legal ramifications through reasoned analysis; a lawyer who is practical, has a commercial mindset and who will bring to the position a sense of urgency and a bias towards action; a lawyer who has the courage of his/her own convictions and is willing to step up and articulate a contrary position in the appropriate situations; and a hands-on lawyer who will roll up his/her sleeves and dig in on those matters that call for involvement.

The candidate should possess a proven record of professional excellence and achievement with 10+ years of broad litigation and commercial experience as a practicing attorney in good standing with experience representing a company within the same or a very relevant sector. Must be a member of a state bar and be able to satisfy the requirements for practicing in-house attorneys in New York state. Demonstrate a record of providing substantive/technical legal advice and support to a senior management team and business leaders, as well as a history of building strong relationships and possess a collaborative working style. Significant experience handling all aspects of litigation, including arbitration and trial experience. Significant experience is advising clients on labor and employment issues. Familiarity with federal and state/regulatory matters including licensing and permitting, ethics in the workplace, etc. Familiarity with compliance mandates, including FCPA, anti-bribery, and other mandates relevant to businesses of the company. Demonstrated superior legal talent; preference for a lawyer with significant commercial and labor and employment litigation experience; experience counseling management on complex legal issues; experience counseling a senior management; ability to ensure compliance with applicable laws, regulations, rules and policies that impact the company. Strong interpersonal skills, including negotiation, cooperation, persuasion, and diplomacy. Ability to multitask and prioritize responsibilities in a fast-paced environment. Flexibility and willingness to handle, and take ownership of, a variety of legal matters.
