Staff Attorney The candidate will be responsible for supporting the Home Office and the Regions through legal research, drafting and recording of system documents, drafting and recording of corporate resolutions, contract review, and transaction support. Will provide all legal services with a focus on timeliness and customer service and shall endeavor to understand and promote the clients legal and business needs. Negotiate, draft, and review contracts, as well as provide general legal services and advice for the firm Regions and firm Home Office departments. Conduct legal research on case, statutory, and regulatory law. Negotiate, draft, and review vendor contracts. Provide assistance and support to the General Counsel and Assistant General Counsel, Corporate Transactions, on joint ventures, sales/acquisitions, divestitures, affiliations, and other transactions, including drafting of legal documents, conducting UCC, Judgment Lien, and Tax Lien searches, and performing due diligence. File annual corporation reports, organizational document amendments, and regulatory notices. Oversee development and amendment of firm governing documents and implementation of template governing documents throughout the system. Coordinate application of IRS determination letters and filings with the Official Catholic Directory. Research and provide legal analysis of new and proposed legislation and regulations impacting the healthcare industry. Draft firm board resolutions and summaries related to transactions and other legal matters. Conducting trademark searches and assisting the Vice President and Corporate Compliance Officer on trademark, patent, and copyright matters; and other duties as assigned by immediate supervisor. Should have JD degree and license to practice in the State of Ohio preferred. Should preferably have 2+ years of law firm or in house experience.
