Associate General Counsel The candidate must have J.D. Should be licensed in Texas. 5 years of experience (more preferred) in private firm or in-house practice is needed. Should have broad and deep experience in securities / M&A / transactional issues. Must have experience in review and drafting of a broad array of contracts and transactional agreements. Should have excellent writing and analysis skills. The candidate reporting to the Vice President and General Counsel, the Associate General Counsel will work closely with the General Counsel, as well as executive, operational and administrative management, in providing exceptional legal services tied to the Company's strategy and (assisting the entire management team in defining and executing legal strategies and support plans. Additional specific duties will include assisting the General Counsel with or, as determined by the General Counsel, leading all or parts of: Review and drafting (in concert with the Company s financial team) of the Company s 33 Act and 34 Act securities filings; Compliance with state and federal securities laws and integration of all disclosure requirements; Review of legal aspects of potential acquisition prospects and financing projects and preparation of purchase and funding documents, and related diligence, relating thereto; Compliance with the Company s secured credit agreement covenants (in concert with the Controller); Review of customer contracts such as Master Service Agreements and related Service Agreements when Senior Counsel not available; Compliance with master limited partnership requirements related to customer contracts; Compliance with regulatory aspects of the Company s operations (in concert with the Company s HSE director and environmental director); Management of Company-related litigation; Coordination with Board and committee members regarding informational requests and corporate approvals; General partnership-related issues; Document retention policy roll-out; Other legal aspects of a publicly-traded, operations-based company. Should have ability to read and interpret data as well as effectively communicating (orally and in writing) with both company and outside personnel.
