Corporate Counsel The candidate will be responsible for providing legal support to the company s Sales, Support, Channel, and Professional Services business units. Responsibilities will be varied and include drafting, reviewing, negotiating, and managing a wide variety of commercial agreements, and providing legal advice to the business teams on a variety of commercial topics. Review, advise, and edit contracts related to direct and channel sales organizations in multiple geographies, including negotiating and drafting customer contracts. Participate in the definition and development of corporate policies, procedures, and programs. Provide prompt, practical, and decisive legal advice and support to the company on prospective and existing customer matters. Serve as legal contact resource for licensing, services and acquisition agreements. Review and advise on merits of major court cases filed against, or on behalf, of the company. Collaborate with and facilitate cross team decision making among the Legal, Sales, Support, Finance, and other internal business teams. Review and analyze privacy, data security and other implications of international operations. Willingness to become proactive, involved, and demonstrate an ability to solve practical problems. Address issues with multiple concrete variables in many situations. Bachelor s degree from recognized college or university and a Juris Doctor degree from an American Bar Association accredited institution required. 7+ years of experience in a legal practice or company required. Broad experience with general corporate and contract matters and specific experience related to the drafting and negotiation of software licensing, technology contracts, data security and protection, and other intellectual property matters required. Must be comfortable negotiating, working across various jurisdictions and time zones, and able to balance competing priorities in a dynamic environment. Advanced writing and grammatical skills required. International legal experience preferred.
