Corporate Counsel - Securities, Governance & Finance

Corporate Counsel - Securities, Governance & Finance The candidate will be a member of the Law Department and its corporate practice group, reporting to an Assistant General Counsel. Assist with the preparation and review of SEC and NYSE reporting and compliance, including periodic reports, proxy statements and Section 16 filings. Provide deal support for corporate finance transactions, including drafting, negotiating and closing of capital markets transactions, and other Treasury related legal matters. Advise on corporate governance matters, including drafting resolutions, preparing board and committee meeting materials and agendas and maintaining corporate records. Counsel on M&A and strategic transactions (e.g. negotiate non-disclosure agreements, letters of intent and other deal related agreements and manage the due diligence process). Assist in managing the company s trademark portfolio and working with outside counsel in advising on trademark related issues. Advise the franchise business team, including preparation of franchise disclosure. Provide deal support for securitizations, debt offerings and other capital market transactions. Negotiate commercial agreements, such as service and supply agreements. J.D. with strong academic credentials required. 2 5 years of experience as a practicing attorney with a corporate in-house legal department and/or private law firm required. Strong interpersonal skills, including an ability to lead through collaboration required. Ability: to operate in fast-paced environment with a very high level of autonomy; to read, write, and fluently speak and understand the English language required. Excellent PC skills, including proficiency with Microsoft Office Suite programs required. Superior written and verbal communication skills required.
