Corporate & Securities Counsel The candidate will prepare and file all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests in collaboration with internal and external accounting and legal teams. Responsible for corporate governance, ethics and compliance matters, including overseeing various corporate policies, preparing the materials for board and committee meetings, and managing the board minute books. Provide legal advice in connection with disclosure matters, including investor presentations, press releases, and other corporate internal and external communications. Coordinate stock option and equity programs in conjunction with Finance department. Prepare, review and negotiate a diverse range of agreements common to the biotechnology industry, including services agreements, confidentiality agreements, material transfer agreements, consulting agreements, clinical trial agreements, HR agreements, license agreements, benefits-related agreements and employment agreements. Provide advice in a wide array of practice areas and special projects as needed. Keep up-to-date of industry related laws and regulations to help identify changes and incorporate into or help create policies and procedures based on such development. JD from an accredited law school and admitted to practice in Massachusetts or other U.S. state and 6-8 years of relevant experience in-house or with a national law firm required. Experience with high growth public biotechnology companies strongly preferred; in-house experience is a plus. Strong knowledge in securities laws and experience advising clients regarding compliance required. Significant experience in board and corporate governance matters required. Excellent verbal and written communication skills required.
