Corporate Legal Counsel The candidate will be part of a small team that manages legal transactions/contracts, intellectual property, and corporate legal compliance matters pertaining to the company. Responsible for providing the company with in-house legal advice on a broad range of operational transactions as well as managing the company s intellectual property and compliance programs. This includes drafting and negotiation of various transactional documents, as well as acting as an advisor on legal issues involving company s government and regulatory compliance. The role also involves liaison and coordination with affiliated global companies personnel on legal processes and matters impacting the company as part of an overall global organization. Draft, review, and supervise drafts of various types of transactional and commercial documents including research and development agreements, licensing agreements, preclinical and clinical trial agreements, process development and manufacturing agreements, sponsored research agreements, confidentiality agreements, asset divestiture agreements, lease agreements, material transfer agreements, evaluation and testing agreements, consulting agreements, and scientific advisory board agreements. Act as the primary negotiator for contractual discussions. Assist in the due diligence for acquisitions/divestitures/business development transactions. Establish legal policy and standard operating procedures for contracts and contract negotiations. Prepare standard templates for various agreements. Review work orders for compliance with contractual terms and approve. Participate in the review process of company publications and presentations. Maintain a contract management and tracking system. Oversee Legal Department personnel. Supervise and manage outside counsel. Manage company s intellectual property portfolio, overseeing outside patent and trademark counsels. Manage the company s corporate compliance program. Advise the company s senior management team on relevant legal matters and new rules and regulations which may impact the business. Liaise as needed with the legal, intellectual property, and compliance teams in the company and its global affiliates. Juris Doctor degree and authorized to practice law in California with 6+ years of transactional experience at a top-tier law firm or a biotech/pharmaceutical company required. Knowledge of contract and intellectual property law required. Experience in health care fraud and abuse laws, antitrust, and other laws impacting the commercialization and pricing of pharmaceutical and biotechnology products preferred. Ability to perform advanced legal research and analyze complex legal matters required. Superior interpersonal skills and ability to interface and work collaboratively with management, research, development, and clinical personnel required.
