Corporate Counsel The candidate will provide legal support to firm engineering, product management, operations, IT, marketing and sales groups for all aspects of commercial transactions. Will draft and negotiate complex software and services agreements for customers and partnerships, while counseling internal stakeholders on all aspects of global licensing and contract law. Draft and negotiate high-tech transactions, including confidentiality agreements, cloud computing, data, hardware, software, technology licenses, development agreements, re-seller agreements, property leases, equipment leases, vendor, consulting and services agreements. Review Statements of Work and Service Orders. Manage vendor responsiveness in accordance with company service level commitments. Support procurement functions on a wide variety of commercial transactions related to IT, product development, engineering and operations. Independently lead and execute all phases of commercial engagements, from providing preliminary advice, performing due diligence, to structuring, drafting and negotiating contracts. Advise on legal and business risks related to contractual relationships. Develop and recommend vendor management processes. Act as a subject matter expert on security, privacy and intellectual property issues (e.g. copyright, trade secret, trademark and patent) in the context of commercial transactions. Manage outside counsel and collaborate with cross functional teams to support firm engineering, product management, operations, marketing and sales groups. The candidate should have a Bachelor's degree and a Juris Doctorate degree from a U.S. accredited law school. Must be licensed to practice law in the State of California. Should have 5+ years of solid transactional legal experience with an emphasis on technology licensing (in both hardware and software) and related professional services, at both a law firm and in a corporate legal department. Experience working in a cross-department, cross-functional role requiring good client relationship skills is essential. Proven experience with global security, data protection and privacy issues in the context of technology transactions is preferred. Prior experience working with high-growth or startup technology companies is desired. Experience with M&A transactions is plus. Deadline: September 29, 2017.
