Sr Corporate Attorney The candidate will provide legal services to support the Senior Vice President and General Counsel at all facilities owned or operated by the company in North America. Provide legal services for the Regulated operations of the company under the supervision of the General Counsel to whom they report. Provide ongoing legal advice and representation in a wide variety of areas involved in the Company s ongoing operations, including the following: contract review and negotiations, regulatory, real estate, permitting, environmental, water supply and allocation, water quality and Corporate transactional matters. Serve as the leader and supervisor of the Legal Department s Regulated Operations professional service team with direct reporting and responsibility to the General Counsel on personnel matters, resource prioritization, and service level standards. Drafts, reviews and negotiates a variety of contracts for matters such as the construction of major facilities, provision of various services to the subsidiaries, and wholesale water and wastewater agreements. Negotiate favorable legal terms in contracts, with a goal to protecting the Company s financial interests. Provide advice to Company personnel regarding rights and responsibilities under contracts and assistance in enforcement of contract rights. Monitor select regulations, circulates relevant proposals to various departments for comment, drafts and files comments with the subject agencies where necessary, and informs personnel of relevant rule adoptions. Upon request of Company management, provides advice on the legal implications of proposed and newly enacted legislation. Provide legal services to support acquisitions and divestitures, including agreement review and negotiation, participation in due diligence, preparation of memoranda outlining legal risks, and preparation and review of documents required for closing. Provide legal services to support administrative proceedings relating to environmental matters and water and wastewater permits, including filing comments with environmental and municipal agencies concerning proposed activities by others that may affect the Company s operations. Respond to inquiries from internal management. Contribute to management decision-making by providing research, legal memoranda, counsel and advice on legal matters. Keep the General Counsel informed regarding complex, sensitive and/or material matters and seeks their counsel on matters requiring their attention. Is expected to maintain professional standards and expertise throughout membership in bar associations, review of legal publications and attendance at relevant CLE seminars. Excellent interpersonal, oral and written communication skills, sound judgment, precise analytical skills and the ability to work independently required. Advanced capabilities with Microsoft Word and other Office Suite programs, software applications used in legal work, and strong legal research skills required. Law degree from an accredited law school in US and admitted to practice in New Jersey or New York, preferably both. 10+ years of experience in corporate law, contracts, utility, real estate or environmental law and/or with technical /industry knowledge required. Experience: with the legal and operational aspects of various areas of water and wastewater operations; working with government and regulatory agencies required.
