Senior Manager Legal Assoc. Corporate Counsel

Senior Manager - Corporate Counsel The candidate will function as a business partner to the global organization, supporting strategic initiatives by advising on business terms, by creatively problem solving business and legal issues, and by striving to minimize legal risks. Will work on complex domestic legal issues requiring in-depth business knowledge, excellent business sense and judgment, analytical business and legal problem solving, and a solid knowledge in general contract, corporate, operational, intellectual property and commercial matters. Handle management of and integration of all contracts into the legal department s new contract database system. Advise and update General Counsel, Deputy General Counsel, Senior Legal Counsel and Corporate Counsel as well as internal clients (including upper management as needed) on contract status, legal risks and business terms of various deals. Negotiate, draft, review, advise and manage marketing agreements, marketing agency agreements, events, contests, collaboration agreements, custom cap orders and review marketing content. Negotiate, draft, review and advise on general business contracts, license agreements, confidentiality agreements, manufacturing agreements, real estate lease agreements, trademark consent and other business contracts as well as operational contracts. Review, process and coordinate terms and conditions in vendor compliance agreements and service agreements. Support General Counsel with ongoing litigation and related discovery responses. Support General Counsel, Deputy General Counsel, Senior Legal Counsel, Corporate Counsel and Director of Tax in various internal corporate agreements. Support the Corporate Counsel in managing regulatory compliance, compliance with the Foreign Corrupt Practices Act, UK Bribery Act, Office of Foreign Assets Control and the European Union General Data Protection Regulation, as well as the company s purchase order process, and record retention process. Interact, advise and counsel internal business clients on legal and business matters including customs issues, collections matters, customer service issues and other general business matters as well as all day-to-day legal issues that arise. Interact with outside law firms as necessary. Ensure consistency of business and legal objectives in all contracts. Ensure high-quality legal analysis and business advice to internal business clients. Assist in implementation, input and management of Legal Department s contract processes and procedures including an electronic database of contracts. Assist in research and review of legal issues impacting headwear designs. Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions and codes. Coordinate other legal issues and responsibilities as directed. Facilitate cross-functional interaction with employees at all levels. Undergraduate and JD Degree required. 3 5 years of practical law firm experience with client contact and prior in-house corporate experience required. Experience working successfully in a rapidly growing fast paced environment required. A general knowledge of likeness and image rights and intellectual property rights as they relate to marketing and licensing is a necessity. Strong interpersonal skills and the ability to build and maintain relationships at all levels of the organization required. Excellent business sense and ability to counsel management on legal and business matters independently required. Strong: academic background and a demonstrated record of accomplishments and achievements; contract drafting, reviewing and negotiation skills required. Knowledge of legal compliance involving general business law required. Proficient in MS Office suite Outlook, Word, Excel & PowerPoint required. Demonstrated ability to serve as a trusted legal and business advisor to General Counsel, Deputy General Counsel, Senior Legal Counsel, Corporate Counsel, Paralegals and business teams required.
