Senior Director, Corporate Counsel The candidate will assist the Senior Vice President, Chief Legal Officer with directing, implementing, managing, coordinating, overseeing, and supervising corporate legal matters relating to the Firm including, without limitation, contract and document review, acquisitions, corporate governance, and supplier contracts. In consultation with the Senior Vice President, Chief Legal Officer advise management on various legal issues relating to the business of the Firm. Responsibilities in this role include assistance with corporate development initiatives, equity matters, and qualifications to transaction business in the United States, Canada, and globally, wherever company operations expand. Advise the Firm concerning transactions of business involving internal affairs, stockholders, directors, officers and corporate relations with general public. Support corporate equity governance as requested, such as preparing share transaction documentation, or maintain stock records. Oversee the process to update, maintain and interpret company governing documents. Oversee corporate governance. Provide oversight and guidance to other members of the department in support of their duties. Prepare business contracts and administers other legal matters. Prepare and negotiate term sheets and definitive documentation. Review material contracts. Maintain board and shareholder minutes. Prepare new entity formation and applications for foreign qualifications. Maintain comprehensive database of alliance and acquisition prospects, and data sites. Maintain comprehensive internal due diligence information. Research and perform preliminary due diligence on prospects. Assist in the negotiation and structuring of senior credit facilities, including appropriate loan covenants. Review client engagement agreements and related documents (e.g., confidentiality agreements and nondisclosure agreements). Meet KPIs established for the Legal Department. Review and negotiate software licenses, development agreements, and other IT-related documents. Draft and review select Firm policies and procedures. Provide legal expertise to other departments where needed. Interpret laws, rulings, and regulations for the Firm. Plan and direct various aspects of the organization s legal affairs and ensures maximum protection of its legal rights. Assist in managing the Firm s relationship with its outside risk management professionals. Advise on select risk management matters. Review outside legal counsel invoices. Track and monitor outside legal expenses, and maintains budget accountability. Assist with other projects as needed, and performs other duties as assigned. Doctor of Jurisprudence degree (JD) from an accredited law school and 15+ years of related experience in a similar environment required. 7+ years of management experience is required. M&A experience and corporate governance are strongly preferred. Intermediate skills in Microsoft Word, Excel, PowerPoint, Access, Outlook, and Internet navigation and research required.
