Corporate Attorney The candidate will handle corporate, transactional and certain litigation matters. Be essential in identifying legal/contractual risks for large engineering, procurement and construction contracts, negotiate and draft terms of commercial contracts in accordance with corporate processes and standards, support approvals process for bid proposals, communicate effectively with internal and external clients on corporate policy and risk mitigation, counsel project manager(s) throughout project life cycle, apply for and obtain parent company guarantees per company procedures, review or draft non-disclosure agreements and confidentiality agreements, provide day-to-day advice to local management, HR, Finance, Administration, Business Development, Proposals, HSE, Ethics and Compliance and Supply Chain, direct outside counsel s management of litigation and other legal mandates on budget, on-time and with positive results, provide training and support on corporate policies and legal issues, support corporate governance for U.S. subsidiaries, support creation and liquidation of local entities and consortiums, JVs or other forms of association. Juris Doctorate in Law from an accredited U.S. law school and admission to practice in at least one state; active membership in the State Bar of Texas; or actively admitted in another U.S. jurisdiction required. 2+ years of experience reviewing, drafting and negotiating business contracts in a law firm or in-house required. Significant experience working with business clients on international and/or domestic transactions (oil and gas preferred), managing outside counsel on complex litigation/arbitration matters, and handling corporate governance concerns required. Ability to communicate effectively with various levels of management and establish rapport with business partners required. Skill to produce legal work that is well-drafted, accurate, reliable and timely required. Ability to speak and write fluently in Spanish preferred.
