Corporate Counsel The candidate will be part of a group that supports the strategic plan and objectives of the Finance group. Proactive and cost effective legal advice and guidance directly assist them in the acquisition and management of a $14 billion portfolio of agricultural mortgage loans. Provide insightful, timely, and pragmatic counsel on a wide range of legal services in the areas of agricultural mortgage loan production, loan servicing, special servicing, loan sales, and asset management by building collaborative relationships with business partners as well as outside counsel. Provide advice and counsel to key business decision makers on the structuring and management of farm and ranch, agribusiness and timber mortgage loans in accordance with applicable law and company policy. Advise business partners and manage outside counsel on loan originations, drafting and negotiating loan documents, assisting with closing due diligence, and handling all other aspects of a sophisticated agricultural finance group. Work with, guide, and manage outside counsel, representing the Agricultural Finance on loan closings, loan servicing, special servicing, special projects, and litigation. Perform other duties as required. Counsel business partners in all aspects of agricultural finance transactions, new product development, and on applicable insurance regulation impacting the company s Agricultural Finance portfolio. Draft and negotiate contracts, documents and work related to agricultural finance, such as loan applications, term sheets, commitments, assignments, assumptions, collateral substitutions and other servicing matter agreements. Effectively combine technical legal knowledge with sound business acumen and knowledge of relevant and key business objectives to deliver timely and pragmatic counsel; and as requested, to create and deliver presentations and training to business partners. Prepare, initiate, advocate for, and effectively present legal points and recommendations to guide key decision makers and to represent business partners as legal counsel. Handle title and survey review. Prepare reports for Legal Affairs management. May lead a work team or project involving business partners, Law Department colleagues and/or outside counsel. A Juris Doctorate from an accredited law school; admitted to practice before a state bar and 5+ years of agricultural finance experience with a law firm or in-house required. Proficient in negotiating, drafting and closing complex loan transactions, sales and acquisitions required. Excellent: oral and written communication skills, with proven business acumen; interpersonal and organizational skills required. Fluency in Spanish or Portuguese would be a plus.
