Associate Counsel Business & Corporate Transactions The candidate will practice assist research and drafting related to a wide variety of business and corporate law matters. Advise, conduct legal research and draft documents related to the formation, dissolution and reorganization of corporations, limited liability companies, partnerships and joint ventures. Advise, conduct legal research and draft documents related to sales and acquisitions of assets, leases and employment agreements. Prepare and review business contracts of all types, including, but not limited to, corporate documents, real property transfer documents, loan documents, lease agreements, employment agreements, independent contractor agreements, and sales contracts. Contracts include inter-company agreements such as management services agreements or administrative services agreements. Under the supervision of the General Counsel, serve as a trusted advisor to members of the business team and company owners. Supervise and review the work of in-house corporate paralegal and other legal support staff. Consult and work with General Counsel and other attorneys in the legal department, as directed. Requirements: Must have a JD Degree and be licensed to practice law in California (a JD Degree from an ABA accredited law school is highly preferred). 3+ years of post-graduate professional legal experience in a law firm or in-house counsel setting. Attorneys with 5+ years such experience are preferred. Excellent written and verbal communication skills. Ability to communicate effectively with other professionals in the legal department and business teams is required. Detail oriented with excellent judgment and analytical skills. Must work well under pressure. Proficient in Microsoft Word, MS Outlook, Excel and related software programs. Familiarity with legal research tools and databases, such as LexisNexis, Lexis Advanced, CEB and others. Must be willing to take on a wide variety of projects, and have a good attitude towards helping out other members of the legal department when needed. Must have good common sense, and a sense of humor a plus.
