Corporate Counsel - Mergers & Acquisitions Responsibilities : The candidate will report to firm s General Counsel. Act as the Legal Department point person on all deal activities, including: draft and negotiate the letter of intent; manage outside counsel; perform due diligence; negotiate the purchase agreement and other key transaction documents; advise management on key deal terms; assist with transaction financing; coordinate the closing process; assist with integration efforts and other post-closing matters; Handle other corporate legal matters, such as: review and advise on firm s credit facility. Assist with corporate governance. Review, draft and negotiate contracts.

Requirements : The candidate should have a J.D. from an accredited U.S. law school. Membership in good standing with a state bar association. New York, New Jersey or Pennsylvania are preferred. Five to seven(5-7) years as a practicing attorney. At least four(4) years as a corporate associate in a law firm, focusing on mergers and acquisitions. Multitask and prioritize. Think critically and creatively. Effectively use analytical and problem solving skills. Understand firm s business and give practical advice to business leaders. Manage complex matters and produce high quality work within tight time constraints. Communicate effectively, verbally and in writing, with senior management and other business leaders in all areas of the company. Be proactive and entrepreneurial. Effectively work independently and as part of a team.
