Legal and Regulatory Compliance Counsel The candidate will manage, review, and continuously improve the firm s Compliance program to ensure compliance with all applicable standards, laws, and regulations. Will stay up to date on applicable law, regulation, and practice, as well as keep senior management apprised of relevant regulatory developments. Maintain and update clear documentation of internal privacy policies and procedures. Investigate breach incidents, trace their origin, and analyze them for trends. Coordinate with operations departments to retrain team members involved with breach incidents to mitigate recurrence of breach incidents and bolster privacy controls. Clearly understand and comprehend the requirements of Business Associate Agreements and Service Contracts. Negotiate Business Associate Agreements with prospective clients, understanding company priorities and business needs, and state legal requirements which affect the negotiation process. Work with operations and training departments to ensure the distribution of training materials and dissemination of new process and policy information. Write clearly comprehensible training and FAQ material that translates legal policy into instruction and demonstrations of firm processes for clients, potential clients, and employees. Create annual reporting for breach incidents for executives and clients. Understand company workflows to provide feedback and advice relative to operations management. Ensure breach notifications and paperwork are appropriately processed and delivered in legally designated timeframes. Perform audits of various elements of the compliance program. Manage Compliance committee and participant in related committees. Providing first line legal support for drafting commercial agreements, human resources and employment matters, corporate governance matters, and a variety of general counsel matters. Perform other duties and special projects to support various organizational initiatives, as assigned. Responsible for supporting, modeling and encouraging a culture of compliance by adhering to, and fostering team members adherence to, the Code of Business Ethics and Conduct, as well as the compliance program. JD degree is needed. Should preferably have 2+ years of legal experience, with a combination of law firm and an in-house transactional background. A thorough understanding of commercial transactions and familiarity with HIPAA compliance is needed. Working knowledge of laws and regulations governing the employer employee relationship is desirable. Advanced organizational and time management skill is needed.
