Corporate Counsel Duties: Serve as lead counsel for Sarah Cannon s Site Support Organization; Serve as legal resource for Sarah Cannon and in matters pertaining to the collection and use of research and clinical patient data; Provide backup services for other attorneys in the Legal Department when needed as a result of leave, workload or otherwise; Maintain a working knowledge of legal requirements that affect the Company s compliance and legal obligations; provide education to internal customers as needed and upon request; Identify business risks on an ongoing basis; communicate those risks to appropriate internal decision-makers for discussion and resolution; Provide practical, timely and high quality advice to internal clients on a wide variety of substantive legal issues pertaining to research, including FDA regulations related to clinical trials, HIPAA privacy rules, fraud and abuse laws, and general legal liability; Review, negotiate and draft various types of complex legal agreements; interpret existing agreements; counsel clients on structure and terms of potential transactions and rights and obligations under existing agreements; and advise and assist clients in the management of and resolution of disputes which may arise under ongoing agreements;; Provide advice to internal clients on compliance with HCA policies pertaining to the Company s business; As requested, represent the Legal Department in meetings with internal and external clients and business partners; Establish rapport and a positive working relationship with personnel at all levels of the Company to encourage and continue the proactive use of in-house legal counsel; Assist VP, Legal Counsel in monitoring and maintaining an effective ethics and compliance program for Sarah Cannon, including conducting training sessions for employees from time to time as requested.

Qualifications: JD Degree is mandatory. Must be already in the Bar in the State of Tennessee in good standing or be able to join the bar in Tennessee. 5+ years of experience is needed. Knowledge: Understanding of clinical research from perspective of a research site, sponsor and/or CRO; Knowledge of laws and regulations affecting clinical research industry; Knowledge of HIPAA privacy and security laws and regulations related to the collection and use of data for quality and research activities; Understanding of legal issues pertaining to oncology clinical services and research is strongly preferred. Effective communication skills, both written and verbal; Good judgment and strong interpersonal skills; Strong analytical, problem-solving, decision-making, project management, and risk assessment skills; Microsoft Office Suite (Outlook, Word, Excel, PowerPoint, etc.); Ability to learn new software programs as needed (e.g., contract management software). Abilities: An underlying, enduring trait useful for performing duties. Strong customer service orientation; Ability to communicate legal issues and risks in non- legalese  terminology; desire and ability to understand business and financial issues as context for providing legal advice; Ability to negotiate and draft both simple and complex agreements; Ability to identify and resolve legal issues quickly and effectively and to make on the spot  risk calls; Ability to handle multiple tasks, prioritize appropriately and adapt quickly to new situations; Ability to lead, as well as collaborate and function well in a team environment; Ability to work independently, assemble client resources, meet tight deadlines; Ability to be decisive and to exercise sound judgment; Ability to manage paralegals and other support staff.
