Senior Corporate Counsel

Senior Corporate Counsel The candidate will be responsible for counseling senior leaders, employee benefit professionals and fiduciaries on matters including qualified retirement plans, executive compensation issues, health and welfare plans, fiduciary compliance, plan governance and prohibited transactions and legal compliance (including ERISA, the Internal Revenue Code, COBRA, HIPAA and ACA). Supporting due diligence negotiating and implementing of M&A transactions with regard to employee benefit matters. Drafting and amending plans, summary plan descriptions, summary of material modifications and participant communications as well as reviewing and negotiating contracts with service providers. Managing litigation, government agency investigations, audits and administrative charges, developing and delivering training as well as the assessment, selection and supervision of outside counsel. Working actively with internal clients and the business as well as human resources and requires the ability to travel and work extended hours when necessary.

The candidate should have JD Degree. Must have Membership in State Bar. Should have7+ years of legal experience. Should have mix experience of corporate law firm and in-house. Corporate transactional background is preferred. Ability to demonstrate sound judgment even in ambiguous situations is required.
