Corporate Counsel - Corporate Investigations The candidate will furnish specialized legal advice to the Companies' various departments in matters dealing with the most critical legal areas. Research and prepare written opinions to such legal questions. Assist in carrying out legal procedures to resolve matters in assigned Corporate Legal division: Property and Casualty, Corporate Secretarial, Litigation, Labor and Agency, Life Company affairs. Provide specialized legal interpretations relating to the assigned Corporate Legal Division: Property and Casualty, Litigation, Labor and Agency, Life Company. Research and prepare legal memoranda and opinions on specialized questions including corporate transactions and corporate secretarial, and legal liability pertaining to areas assigned to the Corporate Legal Divisions. Make appearances before various tribunals in respect to the areas assigned to the Corporate Legal Divisions. Assist in the drafting of bills for proposed legislation. Draft letters, opinions, and briefs directed to government boards and agencies (e.g., insurance departments, attorney generals, and boards of equalization). Prepare legal briefs and pleadings in specialized matters involving the Group organizations. Conduct legal research and drafts points, authorities, and briefs. Research and write opinions for Claims department on liability or coverage of particular files. Monitor recovery from the Companies' carriers relative to expenses and liabilities arising from corporate litigation. Responsible for and anticipates the legal needs of the areas assigned to the Corporate Legal Divisions. Approve and modify forms of insurance policies, endorsements, and other forms; and interprets policy language. Give opinions on disability insurance coverage; handles appeals to Department of Employment regarding disability coverage; and approves and recommends changes in group disability coverages and group life insurance coverage purchased from outside carriers for employees and agents. Correlate policy coverage with booklets describing coverage distributed to employees and agents. Index legal opinions and keeps index of recent cases and legal articles pertinent to the areas assigned to the Corporate Legal Divisions. Manage special assignments as requested by legal department management. LLB or JD degree and membership in the state Bar, and completion of review or seminar courses in corporate law and associated fields; as well as meet all MCLE rules and regulations required. 4+ years as an attorney in the field of corporate law and/or litigation and related experience in areas of responsibility required. Basic computer knowledge required.
