Corporate Counsel The candidate will be responsible for providing well-informed, timely, effective, hands-on and practical legal guidance and support to internal departments of the company. Provide guidance on a variety of legal and business issues, act to ensure that the company s interests are protected and manage day-to-day legal functions. Manage trademarks, patents, design patents, copyrights, and domain names for the company and its subsidiaries. This work includes trademark clearance, prosecution, and dispute management (oppositions and cancellation actions). Negotiate, draft and review a broad range of commercial contracts, including international distribution agreements, technology contracts, and all contracts with privacy or intellectual property considerations. Manage disputes, conduct internal investigations, gather and respond to discovery, coordinate with outside counsel, manage litigation and project budgets, and negotiate settlement agreements. Advise on a range of commercial governance issues, including privacy, antitrust, employment, pricing, and data protection. Recommend and execute policy and procedural changes as appropriate. Provide legal counsel to e-commerce, sales and marketing teams regarding advertising, promotions, domain name and social media issues. Periodically review marketing materials for legal compliance. Provide legal guidance for subsidiaries as needed. Manage corporate governance recordkeeping. Juris Doctorate (J.D.) degree from an accredited law school and state bar admission with 3-5 years of relevant experience required. Prior in-house and contract drafting experience a plus. Ability: to evaluate and weigh legal and business issues effectively and realistically; to clearly and concisely explain legal situations to business persons and other non-lawyers and motivate them to take appropriate actions; to achieve optimum legal and business outcomes in a timely manner by focusing on key objectives, seeking efficient legal solutions, prioritizing multiple matters and issues, and avoiding unnecessary disputes required.
