Senior Corporate Counsel

Senior Corporate Counsel The candidate will be drafting, reviewing and negotiating a broad range of commercial, revenue-generating agreements, including SaaS, channel, and other service agreements; serving as liaison to and counseling regional sales team. Will be assisting in development and implementation of various legal templates, forms, communications and operational systems to improve the delivery and scalability of legal resources to a worldwide, distributed client base by working collaboratively with other legal team members and the sales organization. Providing legal analyses of applicable laws, regulations and industry guidance that impact customer license and service agreements, and assist in the design and implementation of appropriate policies to ensure compliance, especially with respect to data protection and privacy. Proactively communicating issues back to management and drive good business, legal and operational processes throughout the organization; drafting and implementing related policies; travel as requested. The candidate should have excellent academic performance. Should be a Member in good standing of a State Bar in the United States. California Bar admission preferred. Must have 10+ years of experience as an attorney, with previous in-house experience being strongly preferred. Experience partnering (and developing rapport) with sales teams in a fast-paced environment that requires sound judgment, excellent counseling skills and ability to prioritize matters essential. Experience with commercial transactions with Fortune 1000 companies, and Channel (VAR, OEM, SI, etc.) programs and relationships required. General experience in a broad range of legal issues for corporate counsel required. Experience handling data privacy and security issues preferred. Experience with government contracts (federal and SLED) and related channel models a plus. Significant experience interacting with senior sales management and advising sales professionals essential. Law firm (AMLAW 200 or equivalent) experience preferred, especially in business transactions, litigation, intellectual property and/or licensing.
