Corporate Affairs Counsel The candidate will be providing legal advice and counsel in commercial transactions matters and providing support to the company compliance functions in accordance to applicable laws and regulations under the direction of the General Counsel. Should possess experience with commercial transactions, and contracts, broad based corporate transactions such as general corporate agreements, IP Agents, licensing, MSA s, and government contracting. Both law firm and in-house experience preferred. Assist and support. Provide legal advice and counsel in commercial transaction matters, primarily negotiating and drafting complex agreements, principally involving vendor services agreement in a variety of areas. Independently negotiate and draft a variety of business contracts and agreements. Interpret federal regulatory compliance statutes, trademark, regulations and state laws and analyze their impact on existing policy and business practices with special attention to CFBP and FTC. Provide support to the Company compliance functions to ensure compliance with applicable laws and regulations. Complete specific periodic assessment reviews of business processes with federal and state regulatory compliance impacts. Proactively identify recurring issues and provide advice and counsel to the Company s senior leaders on complex issues having impact on the company. Develop strong partnerships with internal clients and the executive team to achieve successful business outcomes. Ability to work under deadlines and manage a large volume of assignments. Provide advice and support in the following practice areas: government contracting, financial services, title and closing issues, eviction, rental management, REO sales, corporate secretary, consumer protection, data privacy protection, acquisition, loan servicing, trademark, marketing and advertising and employment law on an as needed basis. Provide advice and support of risk management process and insurance coverage matters including review of company insurance policies for adequate coverage and review of the vendor requirements on an as needed basis. Juris Doctorate from an accredited law school, membership in the State Bar and 7+ years of legal experience as a practicing attorney with a law firm, drafting and negotiating complex transactional agreements is required. Prior knowledge of Mortgage Industry Experience, Short Sales, RESPA compliance, REO sales management, Loan Servicing, Tittle and Closing is a plus. Prior experience in Federal Government contracts, in-house experience and real estate industry experience required. Excellent verbal, written, interpersonal and communication skills required. Proven ability: to manage multiple large-scale projects and task within strict time constraints; to present information and reports to management clearly and concisely required. Microsoft Office Suite (Word & Excel) intermediate level and above required.
