Franchise/Corporate Counsel, Contract Duties: Provide legal support and guidance on a broad range of franchise and commercial issues. Will report directly to the Chief Legal Officer and will support all business units and a growing portfolio of health and fitness brands. Act as a strategic partner to the business, providing sound and reasonable business and legal advice. Manage the franchise registration and disclosure process. Oversee the franchise compliance function. Provide legal advice on franchise and corporate real estate matters. Participate in the negotiation, drafting and execution of all Company agreements including franchise, service, vendor, supply chain, technology, marketing, purchase and sales agreements. Assist to manage the internal legal function to provide strategic and practical advice, as well as high-caliber and responsive legal services to the Company s executives and business functions. Monitor and improve controls and procedures to ensure compliance with all applicable laws and regulations, including franchise regulations. Any and all other duties as assigned. Qualifications: Licensed attorney in the state of MN. 4+ years of experience in a corporate legal department or law firm or some combination. Must have transactional franchise experience. Combination of experience in one or more of the following areas desired: general contracts/ commercial matters, real estate, trademarks, marketing and advertising. Desire and ability to work in a fast-paced and highly challenging environment for a successful, growing company with very high quality expectations. Excellent business judgment with the ability to make decisions and give advice that demonstrates an understanding of overall business objectives and the risk/reward of each situation. Ability to work as a team member, supporting the overall objectives of the organization in a pleasant and professional manner.
