Vice President & Associate General Counsel Litigation The candidate will lead responsibility for a diverse range of litigation and regulatory proceedings, including pre-litigation dispute resolution, management of active litigation, responsibility for discovery and other litigation requests and procedures, review of pleadings and other court documents, the receipt of subpoenas and other information requests and inquiries from third parties. Will be managing a team of lawyers and paralegals engaged in risk management work, litigation and third party subpoena compliance, which will require among other things, coordinating activities, internally and externally, including advocacy and strategy for litigated and investigative matters and remediation efforts, discovery initiatives and related disclosures. Will work cross-functionally with teams to mitigate litigation risk and to ensure compliance with litigation and regulatory obligations. Will advise in-house attorneys and company management on strategy and resolution of cases; Provides risk management and other general advice to the legal department, business partners and customers; Drives strategy, execution and management of outside counsel on litigation and related matters; Collaborate with outside counsel to efficiently manage all aspects of outside counsel relationships, including: staffing, litigation strategy, budgets, work product, discovery and developing initiatives for reducing outside counsel spend. Will coordinate with the CLO on periodic reporting on litigation results, budgets, forecasts, exposure analysis and litigation strategies, as well as evaluating litigation strategies, expenses and reserves with the Company s independent auditors, risk managers and business unit leaders. Other special projects and responsibilities based on the skills and interests of the candidate and needs within the company.

The candidate should have Juris Doctor degree from an accredited law school. Member in good standing with the applicable State Bar. Should have 10+ years of experience in an in-house legal department and/or a major law firm handling complex litigation, including employment, and bankruptcy litigation, alternative dispute resolution and pre-litigation disputes. At least 5 years of managing attorneys and paralegals is preferred. Demonstrated record for success strategizing, handling and managing complex commercial disputes to successful resolution. Should have experience handling class action employment litigation matter is a plus, but not a prerequisite. Natural ownership instincts manifested by a desire to take responsibility for, and guide collaborative solutions to, complex matters; Outstanding written and verbal communication skills, hands-on style, and willingness to proactively engage with peers while maintaining an open-minded approach; Demonstrated attention to detail, discretion and experience handling highly sensitive and confidential information; Familiarity with e-discovery issues, including document retention policies and procedures, third party subpoena compliance and law enforcement requests for user information and corporate records; Demonstrated commitment to high professional ethical standards. Must have excellent sense of humor. Frequent participation in conference calls, including video conferences, with flexibility in office hours to accommodate additional time zones. Travel, as needed, for litigation or claims activities, meetings, training, and/or company events.
