Corporate Counsel Duties: Supporting the company s commercial transactions and helping to ensure that organization-wide business strategies, policies and programs are developed and applied in full recognition of all legal implications and risks, including the formulation of internal policies to ensure compliance with applicable law. Advise internal customers, manage contract negotiations and execution, and assure protection of company s intellectual property, business and legal interests within applicable legal constraints. Drafting and negotiating a wide variety of contracts, including digital advertising agreements and other licensing agreements, as well as helping to manage day-to-day legal needs. Will also advise clients on the various legal risks, business strategies and other issues related to commercial transactions and general operations. Diligent and proactive, have demonstrated excellent legal and business judgment and strategic thinking, along with the ability to work independently. Contract drafting, negotiation and advisory responsibilities for various teams. Provide strategic business and legal advice to develop a comprehensive, long-term approach to our relationships with key partners. Administration and resolution of legal issues that arise in existing commercial relationshipsWork with internal account owners to manage legal aspects of existing contractual relationships and oversee contractual compliance issues as they ariseDevelop, gain approval for, promulgate and enforce appropriate company policies and processes to ensure compliance with laws and regulations applicable to its businessManagement and protection of legal and intellectual property interests. Qualifications: JD Degree from an ABA accredited law school and 7+ years professional experience as a lawyer with extensive experience in international and domestic contract negotiation and drafting, and international and domestic corporate compliance. Must have 5-7 years of technology transactions experience at both a law firm and in a corporate legal department. Demonstrated experience advising clients in structuring complex commercial technology-related transactions. Extensive background in drafting and negotiating digital advertising agreements especially desired. Experience working in a cross-department, cross-functional roleUnderstanding intellectual property (copyright, trade secret, trademark and patent) issues in the context of commercial transactions is requiredExperience creating and supporting legal processes and internal controls (experience at a reputable public technology company highly desirable)Familiarity with privacy, data protection and software security issues desirable. Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure. Excellent oral, written, and interpersonal skills. Demonstrated ability to work collaboratively with all employees and other key stakeholdersAdmission to the California Bar
