Corporate Counsel - Commercial The candidate will manage a substantial and fluctuating contract negotiation workload (while navigating both internal business partners and outside vendors, consultants and legal contacts), in a responsive and time-sensitive manner; Review, draft and negotiate advantageous contracts and documents, with a focus on technology, social media and software agreements and licenses. Will review, draft and negotiate advantageous contracts and commercial documents including but not limited to subscription agreements, transportation agreements, service agreements, consulting agreements, and confidentiality agreements; Support and build relationships with many of the company s internal business teams, specifically including AEO s procurement, digital, human resource, information technology, and marketing teams; Assist in the management of AEO s contract flow, approvals, and reporting, consistent with our current internal contract management process; Identify and mitigate potential liabilities and risks associated with third-party vendors, internal business practices, contract negotiations and corporate policies; Support the continuous improvement of AEO s internal standard template documents and legal processes; Perform legal and factual research, and prepare related summaries or memorandums of findings; Act discreetly in handling sensitive and confidential matters. Will perform additional projects and responsibilities, as requested.

The candidate should have JD Degree. Should have 0-3 years of corporate, law firm experience; knowledge of retail, technology, and/or marketing knowledge preferred. Should have excellent drafting and negotiation experience and skills. Should have ability to work in a fast-paced and deadline-oriented environment; Solid judgment and decision making skills, including when and how to escalate issues to the appropriate level and towards resolution and an understanding of AEO s risk tolerance and acceptance practices. Self-motivation, with critical attention to responsiveness, detail and deadlines. Strong analytical, prioritizing, problem-solving, project management, and planning skills. Robust verbal/written communication, collaborative and interpersonal skills. Should have ability to work well in a team and/or individual environment, and the ability to influence peers, associates and senior management. High degree of proficiency MS Office Suite, Outlook, SharePoint & Internet applications.
