Corporate Counsel The candidate will initially report the Vice President, Deputy General Counsel with primary responsibility for 34 Act and 33 Act securities and corporate finance matters.Will lead the preparation and coordination of various periodic report filings pursuant to the 34 Act, including Form 10-Ks, 10-Qs, Form 8-Ks and proxy statements. Lead the preparation and coordination of 33 Act filings, including registration statements; managing and working collaboratively with outside counsel. Cross-functional collaboration with the finance team and other research, development and commercial teams on disclosure and financial matters. Train relevant personnel on key corporate policies, including Insider Trading Policy. Provide legal advice and support to the General Counsel for Board activities in collaboration with other members of the Legal team. Review and negotiate various contracts relating to research or development activities, in collaboration with other members of the Legal team and relevant business stakeholders. Collaborate fluidly with other members of the Legal team relating to a broad range of topics, including protecting and defending intellectual property rights, supporting strategic partnering collaborations and employment matters. Provide support to the Vice President, Deputy General Counsel on internal Legal team projects The candidate should have experience and accomplishment in a broad range of securities matters. Experience in advising executives and boards on corporate finance matters. Experience in negotiating routine and complex contracts is essential. Develop understanding of biotechnology industry, including the development of affordable medicines is desirable. Must have excellent oral and written communication skills that enable effective interactions with internal client groups (e.g., finance, investor relations, business development, etc.) as well as with colleagues on the Legal team. Some experience in non-IP litigation matters is essential. Collegial team player with a healthy sense of humor is essential. Should have BA or BS and JD degree. 5+ years of legal experience; law firm experience is preferred.
