Corporate Attorney The candidate will assist with SEC and NYSE reporting and compliance, including drafting and review of periodic reports and proxy statements. Will manage Section 16 filings and assist with Securities Trading Policy compliance. Manage internal and external claims and contingency reporting. Assist and provide legal support for M&A and strategic transactions (e.g., draft and review non-disclosure agreements, letters of intent and other deal related agreements and manage due diligence). Assist and provide legal support for corporate finance and capital markets transactions and other Treasury related matters. Draft, review and negotiate a range of corporate contracts. Monitor and report on legal developments in areas of responsibility. Other duties as assigned by Senior Vice President - General Counsel and Senior Counsel. JD degree from an accredited college or university is required. Licensed to practice law and in good standing in the state of Texas or another US state is required. Should have 2 - 5 years of legal experience (private practice or combination of private practice and in-house counsel). Familiarity and fundamental understanding of corporate, securities and M&A matter is needed. Strong work ethic and a proven ability to meet deadlines on multiple projects simultaneously is advantageous.
