Real Estate Attorney Responsibilities: Negotiate, draft, and review commercial real estate purchase and sale agreements; review and analyze title, including preliminary title reports and ALTA surveys. Review due diligence documents and analyze their impact on the purchase, including, for example, reciprocal easements for parking, other easements, a wide variety of leases (e.g., office leases and complex restaurant leases), property management agreements, owner participation agreements, service agreements, building structural reports, environmental reports, and escrow agreements. Structure 1031 exchanges; advise corporate management on gifts and charitable contributions issues. Research property issues such as annexation, bankruptcy, unlawful detainers, water rights, and zoning; negotiate, draft, and review commercial lease provisions and analyze their impact, including, but not limited to, representations and warranties, indemnity, right of early termination, and right of expansion provisions. Facilitate resolutions of tenant issues by reviewing and analyzing existing leases, conducting legal research, and advising property management and accounting teams on potential solutions based on the rights and obligations of all relevant parties. Review and respond to requests for proposal from potential tenants. Negotiate, draft, and review construction contracts, including prime contracts, development agreements, design services agreements, and construction management agreements.

Requirements: JD Degree from ABA-accredited law school or equivalent. Member in good standing of California State Bar as an attorney qualified to practice law in this state; other states admittance also considered, but may be required to sit for Bar in California. 5+ years at a law firm or in-house with significant real estate experience. Solid business acumen and judgment, attention to detail, and the ability to isolate issues for escalation. Strong written and verbal communication skills for working with all levels of management and staff in a variety of departments and with international clientele, third-party vendors, and licensees. Ability to influence without authority. Able to cost-effectively utilize and manage outside counsel and other advisers.
