Assistant General Counsel, FVP Corporate Mergers and Acquisitions The candidate will support the company s mergers and acquisitions activity enterprise-wide. Will support segments of the M&A advisory business of firm s investment banking subsidiary,firm Robinson Humphrey, Inc., as well as handle internal reorganizations and general corporate work for various firm subsidiaries. Responsible for overall legal support with respect to firm s strategic M&A and related transactions, including acquisitions, divestitures, joint ventures and equity investments, from pipeline and planning stages through and including deal negotiation and execution. Diligence investigations and preparation and negotiation of confidentiality agreements, term sheets, letters of intent and definitive transaction agreements. Involve creating and managing deal teams with other firm in-house attorneys and constituents and outside advisors (including active management of outside counsel) on large, complex transactions. Responsible for corporate aspects of internal reorganizations and providing general corporate work for various firm subsidiaries. Involve assistance with firm debt issuances and securities compliance work. Support certain industry verticals within the M&A advisory business of firm Robinson Humphrey, Inc. Drafting and negotiating engagement letters, advising with respect to conflicts of interest, updating legal agreement forms, keeping the business apprised of relevant legal developments and providing legal support in connection with the issuance of fairness opinions, including drafting and negotiating opinion letters, reviewing board materials and preparing proxy disclosures with respect to fairness opinions.

The candidate should have JD degree from an accredited law school, excellent academic credentials and current member in good standing with Georgia or other state Bar. Should have 4-6 years of legal M&A experience in large law firm environment or corporate legal department. Securities law experience is considered helpful. Should have strong analytical skills and ability to balance business needs with legal risks. Must have excellent verbal and written communication skills with particular emphasis on contract drafting abilities. Should have strong negotiation skills.
