Compliance and Regulatory Counsel The candidate will report to the General Counsel. Will be primarily focused on the company s compliance with U.S., state-level real estate licensing laws, homeowner and community association laws, and city and county regulations. Get up to speed quickly on on such laws, and to create compliant policies and procedures. Participate meaningfully with the company s expansion into new states and help advise on compliance issues with states in which the company is already operating. Draft, negotiate and review legal documents including leases, LLC operating agreements and vacation rental management agreements. Research legal issues and draft memos summarizing the research; draft internal policies regarding same. Advise and work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, Human Resources, Operations and the International Divisions. Manage various projects and deadlines. Provide assistance with strategic partnership deals, and mergers and acquisitions; including due diligence, purchase agreements, regulatory matters and post-closing obligations. Keep abreast of legislative changes that may affect the company and its affiliates, especially as it relates to regulatory and compliance matters. Advise and manage the purchase and maintenance of insurance products related to our operations. Lead responses to audits and investigations. Review advertising and marketing materials to ensure compliance with legal requirements, including real estate licensing laws. Provide training to the company, including licensing and regulatory issues. Attend weekly meetings with direct manager and the legal team. Work with other members of your local team and central staff to ensure a smooth and positive experience for all of owner and guest clients. Contribute to the overall strategy development of our legal team and Vacasa as a whole. Create a positive work environment for employees. Manage one or more employees as needed. Create a positive perception of Vacasa in the industry and throughout the local communities where we operate.

The candidate should have JD degree and proficiency with computer software programs such as Word, Excel and Google Apps. Must have 5+ years of experience in a law firm and/or corporate legal/compliance department. Should have 5+ years of experience in law firm and corporate legal/compliance department environments. Must be an active member of at least one state Bar. Graduates from a national law school or top regional law school are preferred. Must have experience with regulatory, transactional and litigation matters, especially in a real estate or land use context, is preference. Must have a solid background with statutory interpretation, corporate governance, commercial law, employment law and regulatory investigations. Good communication skills, both oral and written, are paramount.
