Corporate Counsel / Licensing The candidate will provide legal guidance, counsel and strategic input to business development teams in support of various complex collaborations and licensing with third parties. Will work closely with the intellectual property group in supporting the technology, transfer and licensing group, which is responsible for in and out-licensing of material and technology. Working independently, provide timely and efficient legal services to the Seeds and Biotech Business Platform on commercial and transactional matters. Take lead in devising negotiation strategies, as well as assist business in the negotiation of complex business arrangements. Promptly draft, review and negotiate a wide range of commercial agreements, major collaborations and licensing of technology. Actively participate as a member of number of leadership management teams. Provide (directly or in cooperation with others, such as other AgCo in-house counsel, outside counsel or AgCo Ethics and Compliance) client education and training on critical issues. Manage and direct outside counsel to ensure the most effective and efficient utilization of resources to support client objectives. Consistently anticipate, guard against, and propose mitigation strategies for the management of potential contractual, compliance and financial risks. Identify or create a multitude of possible solutions instead of searching for one correct answer. Respect other opinions and be able to drive consensus. Provide proactive substantive legal advice and guidance aligned with business needs and strategies. Must have Law degree appropriate to the jurisdiction served and licensed to practice law in the appropriate jurisdiction. Should have 6+ years of commensurate experience. Experience in licensing and intellectual property law is preferred.
