Assistant General Attorney (Transactional/Contracts) The candidate will support internal clients with their contract management functions. Will review, drafting and negotiation of a wide variety of agreements, including service agreements, equipment and materials procurement, leases and related documents, and consulting with the Engineering, Mechanical, Finance, Tax and Risk Management departments as necessary. Will assist in maintenance of tracking system for contracts and the development of standard form agreements and implementation of processes and procedures for review and approval of day-to-day business agreements. Will assist in training internal clients on contract forms and procedures and act as a company resource for contract questions. Will be providing legal advice and counsel concerning general law and operational regulations for a major Class I railroad, including research and legal advice under the supervision of senior attorneys on: administrative, regulatory, and commercial law issues and communications with regulatory agencies.

The candidate must have a graduate or bachelor degree; Juris Doctor, current law license (Texas preferred, but not mandatory); Strong academic background. Should have 3-7 years of relevant work experience as a practicing lawyer (in-house, law firm or government) handling complex contract negotiations and transactions. High performing individual with ability to handle complex and challenging assignments with extremely short turnaround deadlines. Should have strong negotiation skills and ability to build consensus and communicate compelling legal/business justification for position. Must possess excellent legal research, verbal and written communication skills and ability to handle complex and challenging assignments with extremely short turnaround deadlines. Should possess knowledge of Microsoft Office Suite, Lexis/Nexis research system and other web-based legal research tools. Experience in regulatory compliance, contract drafting, negotiation, general commercial litigation, and/or an economics/business background. Experience in the transportation or manufacturing industry a plus.
