Senior Corporate Counsel The candidate will provide support on a wide variety of matters, including executive compensation, employee compensation plans, corporate and securities law. Will advise on executive and broad-based compensation plans and programs and related corporate governance matters. Assist with the preparation of materials for meetings of the Compensation Committee of the Board of Directors. Prepare compensation disclosure items such as the CD&A and overall proxy statement. Advise the HR compensation team on issues related to employee stock plans and compensation programs generally. Research legal principles and precedents, consult with outside counsel, draft legal documents, gather relevant information using multiple sources and methods. Provide work guidance to paraprofessional and support staff. Draft plan amendments, summary plan descriptions, plan information statements, and equity award agreements. Monitor changing legislation and regulations effecting employee benefit plans to ensure documents for those plans are up to date with these changes and the plans are administered consistently. Provide advice and counsel to HR and business units on a wide range of benefit issues, company policy, practices and procedures. Assist with SEC and other regulatory filings, reporting and disclosure obligations, including Forms 8-K, 11-K, 10-Q and 10-K and State filings. Advise on proposed changes to company policies, practices and business operations. Preparation for annual meeting of stockholders and drafting of proxy statement. Administer related persons policy and procedures. Work on special projects; draft contracts, other duties as assigned.

The candidate must possess a Juris doctorate degree and a license to practice law in California. Should have 5+ years of securities or corporate law experience in a law firm or in-house legal department, with a focus on compensation and benefits. Strong technical knowledge of relevant federal tax and securities laws (IRC, 33 and 34 Acts, Sarbanes-Oxley, Dodd-Frank) and general familiarity with applicable foreign laws related to employee stock plans in non-US jurisdictions is preferable. Computer skills used in or related to the tasks performed essential. Familiarity with investment adviser and/or investment company industry a plus.
