Corporate Counsel

Corporate Counsel Responsibilities: Provide general legal services to support the Company's business operations; Review, negotiate, and draft contracts for domestic and international commercial transactions; Draft and manage standard terms and conditions and forms of agreement; Manage Company policies and procedures and the corporate compliance function; Advise Finance, Treasury and Tax departments on corporate finance matters; Draft and maintain intercompany agreements (i.e., services, lending, licensing); Maintain corporate formalities of Company entities, domestic and international, and prepare organizational documents and corporate actions; Identify legal and business risks, and assist with Company risk management and insurance program; Analyze complex legal issues and applicable laws as they relate to the company's business; Represent the company in mergers and acquisitions and financial transactions; and Manage outside legal counsel. Will also be responsible for helping to support other practice areas within the Legal Department and the Company, including employment, immigration, litigation, tax, procurement, environmental and intellectual property matters. We are a tight-knit legal department without strictly defined boundaries all members work across practice areas to support each other and the business.

Qualifications: Law degree from an ABA accredited law school and a strong academic background. Admitted to the Bar of the Commonwealth of Pennsylvania, or eligible for reciprocity admission at the time of hire. 3-5 years of experience practicing in general corporate law and commercial transactions at a large law firm or in-house legal department. Preferred: Experience practicing in mergers and acquisitions and / or financial transactions. Experience working internationally, with legal clients or business colleagues. Excellent verbal and written communication skills. Ability to analyze complex legal issues and provide recommendations for well-reasoned, practical solutions and alternatives. Ability to identify legal risks and develop plans to reduce the chance of occurrence and / or exposure. Strong work ethic and enthusiasm for taking on a wide range of projects and responsibilities. Proactive, detail oriented, and able to prioritize while handling multiple tasks. Availability to travel from time to time, domestically and internationally.
