Corporate Counsel (Technology) Reporting to the Chief General Counsel, the candidate will be a key member of the legal team, providing enterprise wide legal services at the newly formed entity controlled by affiliates of the company. Responsibilities will include providing legal advice and assistance on a variety of commercial and operational matters, with a focus on technology agreements and intellectual property legal issues, such as SaaS, terms of use, development agreements, licensing agreements and IT infrastructure agreements. Review miscellaneous agreements including, but not limited to, software licenses, professional services agreements, master services, marketing, sponsorship, supply, and information technology agreements. Coordinate ongoing regulatory compliance with respect to matters such as licensing and the protection of the intellectual property such as trademarks. Collaborate with legal department colleagues and policy specialists on various legal and regulatory issues, with an emphasis on privacy, security, accessibility and regulatory compliance. Assist in the development or improvement of various template agreements to be used wherever appropriate throughout the organization. Perform trademark clearance searches and provide clearance opinions based on preliminary and comprehensive search results. Provide regular intellectual property training and counsel for Marketing, Communications, Sales, and other departments. Develop and implement IP brand standards manual. Law degree from an internationally recognized university / law school and current admission or eligible for reciprocal admission to practice law in the State required. 3 5 years of corporate / commercial legal experience and strong interpersonal / communication skills required. Significant experience as a business lawyer focusing on technology at a major Canadian or American law firm required. Knowledge of pertinent laws and regulations required. French language an asset. Excellent analytical and interpretive skills with the ability to summarize and draw conclusions required.
