Contracts Manager/Counsel

Contracts Manager/Counsel The candidate will draft and negotiate software license agreements, statements of work, professional services agreements, contract addenda, and service provider contracts. Will analyze, provide redlined recommendations, and provide input into the preparation and revision of contracts and subcontracts to ensure customer and corporate objectives are met. Ability to lead a negotiation, understanding how to balance key risks and opportunities in order to obtain a mutually acceptable contract in a way that will not alienate customers. Review RFPs and RFQs, offering appropriate alternatives to contract terms and conditions. Advise sales management of contractual rights and obligations and provide clarification of contract terms and conditions. Interpret contract policies, operating practices, and performance standards within the Contracts Team. Support the Account Management, Billing and Legal personnel as necessary to:. Manage contract renewal process and prepare improvements for same. Track and send contractually required notices/reports. Track all contractually required product enhancements and service level requirements. Support collections (e.g., investigate bankruptcy claims, prepare release forms). Maintain contracts and related legal documents and records. Bachelor's degree is required. JD degree is preferred. Should have 5+ years of experience in software and services contract management/negotiation in a high tech organization. SaaS experience is required. Demonstrated negotiation skil is needed. Strong multitasking skills to be able to move and track multiple projects to completion is needed. Strong interpersonal and organizational skills and able to work well with a team is essential. Proficient in is needed.
