Director, Corporate Counsel The candidate will provide legal counsel and advice for appropriate Business Lines within the company. Negotiate, prepare and review various bid documents, contracts and other legal documents to ensure that the best interests of the business are protected. Review marketing various marketing and advertising materials. Assist, direct, evaluate and participate in the prosecution and defense litigation matters involving property damage claims, insurance claims, workers compensation claims, or other business related issues. Manage outside counsel with respect to legal matters and assist in evaluation of quality, cost, and efficiency of outside counsel. Assist in managing corporate secretarial affairs of subsidiaries companies. Provide advice and counsel on important aspects of government relationships and legal matters to assure compliance with applicable laws and regulations. Assist in various corporate governance issues such as mergers, acquisitions, divestitures, reorganizations, state corporate registrations and filing. Provide any required internal legal or compliance reports. Assist in the monitoring of and compliance with technical corporate record keeping and filing requirements. Perform all other duties as assigned by General Counsel of the company. Juris Doctorate from an accredited law school and 7+ years of corporate law experience, significant contract law experience required. Strong expertise in one or more practice areas relevant to the business, i.e. commercial transactions, litigation, state service contract acts, marketing and advertising required. Experience in governmental contracting helpful. Broad knowledge of corporate law and working knowledge of company contracts, policies and operations would be beneficial. Strong: verbal and written communication skills (e.g. presentation, fluency, report writing); interpersonal skills (e.g. tact/diplomacy, persuasion, negotiation, cooperation) including ability to work effectively with all levels throughout the organization required.
