Corporate and Commercial Counsel The candidate will be responsible for handling a variety of complex assigned legal projects within the legal department, including providing legal support to Corporate Functions, including Operations, and assisting with corporate secretarial and compliance duties. Reporting to Assistant General Counsel, Corporate and Compliance Officer based in Stamford, CT, essential duties and responsibilities of the role will include: Reviewing, drafting and negotiating a wide range of general commercial and corporate contracts. Providing analysis and counsel on legal and policy issues. Managing standard form agreements including ongoing development of best practices. Providing counseling and transactional support to Corporate functions. Assisting with management of corporate entities (i.e. drafting minutes and resoultions, overseeing local State filings). Providing support for Operations, including the global procurement organization. Managing preparation of agreements for the global procurement organization. Working with other lawyers in the legal department to provide legal advice and counsel related to global procurement activities, including purchasing contracts, international trade issues, inbound software and technology licenses, software development agreements, contract manufacturing, and information technology and business process outsourcing. Working with other lawyers in the legal department to monitor and analyze ongoing legal climate to ensure continued company compliance with all applicable laws, including the Foreign Corrupt Practices Act and other anti-bribery statutes, US export control laws, the Conflict Minerals Rule, and the California Transparency in Supply Chains Act. Assisting with the maintenance of Company s code of conduct and other compliance policies and procedures. Providing training on a variety of legal topics. Supporting with general in-house functions, including dispute resolution, anticipating and guarding against legal risks facing the company. Managing external law firms and legal budget costs, where appropriate.

The candidate must have JD degree and Bar admission. Must have Connecticut Bar or the ability to be admitted as an Authorized House Counsel. Should have 3-5 years of related experience, preferably in a combination of well regarded law firm and corporate setting, with some international experience. Must have solid exposure to drafting and negotiating domestic and international commercial contracts (i.e. sales, distribution, supply agreements.). Should have exceptional communication skills (verbal and written) with the ability to liaise with all areas of the business at all levels, including senior management. Must have Superb organizational skills and attention to detail in work product. Must be in good standing with a State Bar and have no prior adverse disciplinary action.
