Corporate Counsel - Corporate Securities/Governance

Corporate Counsel - Corporate Securities/Governance The candidate will consult with, advises, and provide legal guidance to Company management and personnel regarding securities disclosure, securities compliance and corporate governance matters. Will draft and/or review documents and participates in meetings and consultations with Company management and personnel on matters involving securities compliance and disclosure, including: 1933 and 1934 Act filings, earnings releases, investor presentations and NYSE filings for public corporation and master limited partnership. Analyze legal and regulatory issues affecting securities disclosure and securities compliance matters. Educate management on areas of possible legal exposure. Actively participate in ongoing corporate governance matters for a public corporation, master limited partnership and their respective subsidiaries, including: assistance with the preparation and compilation of Board and Committee materials, preparation of meeting minutes, drafting of resolutions and written consents, annual review of corporate governance guidelines and Board committee charters, drafting or review of various corporate governance policies, and assistance with various state and local qualifications, assumed name filings, license applications and other maintenance matters. Prepare memoranda, agreements and complex legal documents and instruments. Review agreements and other legal documents and gives advice with respect thereto. Review existing and proposed securities and corporate governance legislation and regulations affecting the Company and its subsidiaries; provides legal advice and guidance with respect thereto. Keep abreast of issues and developments in specialty areas by reading articles, attending professional conferences and conferring with professional experts. Provide legal advice, counsel, negotiation assistance, coordination and representation on other Company matters as needed. The candidate must have a JD degree. Should have current license to practice law in Texas or applicable states in which company has operations. Must have 6+ years of experience in with a major law firm or corporation. Should preferably have 8 years of experience with corporate governance and securities.
