Corporate Counsel The candidate will provide counsel to firm Business Departments and legal support to the firm Legal Department. Projects may include Acquisition of domestic and foreign entities, creating and maintaining corporate entities and documentation related thereto, litigation management and employment matters. Draft LOI s, purchase and sales agreements. Draft transaction documents dealing with acquisitions, financing, and dispositions. Provide asset and corporate level due diligence. Identify risks and propose alternative structures to mitigate risks involved in potential transactions and contracts. Draft settlement documents, attend mediations and legal proceedings. Manage, track and report claims related to the business. Maintain and amend, as needed, firm risk management, corporate and employee policies, and facilitate the roll-out of corporate training regarding same. Provide counsel and work as a team with other counsel leaders as necessary. Must have 5-15 years practicing law in corporate or law firm environment. Should preferably have experience in high-tech industry. Experience in one or more of the following areas: M&A, claims management, employment is required. Excellent communication and effective interpersonal skills is needed. Excellent organization, presentation, and writing skills is must.
