Corporate Transactional Attorney The candidate will provide transactional support for the Company s operations, with a particular focus on implementing agreements to support clinical operations and product development. Will interact with personnel at all levels of the Company as well as with external parties to prepare, review, and negotiate a range of complex contracts. Review, draft, red-line, negotiate, and approve for execution a range of contracts and other documents relating to the conduct of clinical research and product development, including clinical trial agreements, manufacturing and quality agreements, research agreements, technology in-licenses and out-licenses, joint development agreements, term sheets and other agreements of varying complexity, as needed. Negotiate directly with external parties, including hospitals and research institutions, interfacing with internal counsel and business units as required. Develop new and update existing contractual documents and templates. Assist internal clients with contract negotiation, clinical development documentation and SOWs, as appropriate. Analyze legal rights, obligations, risks, and compliance issues. Assist with other legal and risk management matters as requested, including with respect to regulatory, corporate governance, licensing, diligence, or litigation matters.

The candidate should preferably have a J.D. degree with California State Bar membership. Should have 5+ years of experience preparing and negotiating a variety of agreements for life sciences. Must have significant experience with clinical trial agreements required. Working knowledge of intellectual property law is strongly preferred. Expertise in FDA regulatory requirements and clinical trials compliance is desired. Should have extensive knowledge of the pharmaceutical and biotechnology industries and the ability to identify business and legal risks and offer creative solutions. Must have the ability to work independently with minimal instruction under the supervision of the General Counsel, and must be able to work accurately in a fast-paced environment and maintain a sense of urgency.
