International Legal Counsel (PERM) The candidate will be required to carry out complex international transactions involving parties in multiple jurisdictions within various business disciplines in the global semiconductor industry. An in depth familiarity with the laws and regulations of key countries and geographies (Singapore, China, Taiwan, USA, UK, Germany, and Israel) is a must, as well as a solid understanding of the industry, focusing on embedded applications and the rapidly growing automotive industry. The International Legal Counsel is responsible for drafting and negotiating commercial transactions of various types as well as providing up front risk assessment and pragmatic legal and business solutions to various business groups across many different areas: Sales, Purchase, Confidentiality, Quality, Regulatory Controls, Credit, M&A, Corporate Governance, Ethics and Compliance. In addition, the International Legal Counsel is required to review a wide range of internal and external marketing publications and communication materials from both legal and commercial perspectives. International Legal Counsel will partner closely with internal functions Sales, procurement, Quality, Corporate Communications, Tax, Marketing and with key Micron customers, their legal, and their business departments, toward providing business solutions while managing Micron s risk exposure, ensuring legal compliance, and applying creative solutions. This position manages one employee (Legal Affairs Manager). The candidate should have J.D. from a U.S. ABA approved law school Academic Discipline(s): Law. Experience Required: 10 years of postgraduate experience OR Degree Required: L.L.B. from a U.K. institution (foreign equivalent education). Academic Discipline(s): Law. Must have 10 years of postgraduate experience in some of the following international locations (Asia, USA, Europe). Should have in-depth familiarity with the rapidly developing IoT, Security, and Autonomous Driving business segments and the associated legal implications. Must have familiarity with different methods and business models of Sales, including drafting and negotiating direct sales, distribution networks, Sales Representatives, Consignment agreements, billing, and electronic data exchange etc. Multi-regional experience in doing business, drafting agreements, and negotiating is needed. Should have in-depth familiarity with component manufacturing and memory sales for embedded applications, focusing on the Automotive and IoT segments. Must have experience partnering effectively with multiple functions in a corporate environment. Substantial Experience in preparation and negotiating of complex cross-border transactions is needed. should have in-depth understanding and experience in corporate business processes and methodologies. Must be experienced in reviewing technical marketing materials for legal compliance. Global familiarity with regulatory controls and compliance requirements and ability to provide legal advice accordingly is needed.
