Bilingual (Spanish / English) Contracts Attorney The candidate will report to the UK Head of Legal and will be part of a global team of 8 legal professionals. Will ensure adequate commercial and legal protection is put in place with each of the companies' customers and suppliers across all of its locations in a timely and responsive manner. Main responsibilities include: Customer Agreements including: Non-Disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Master Services Agreements/ Framework Agreements, review and negotiation of customer proposed terms and conditions primarily for the US and South America but also for all jurisdictions where company operates; distribution agreements: resellers, agents, joint marketing etc.; and supplier agreements: Leases, software licenses, SAAS, marketing events, sponsorships, procurement. Serve as the contractual middleman between internal clients and external customers for the entire contract lifecycle ensuring timely review, approval, negotiation, contract close-out, extensions, renewal or variations of agreements as well as managing escalations and disputes. Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contract information sheets, contractual changes, status reports and other documents for all projects. Support, develop and implement procedures for contract management and administration in compliance with company policy/ business terms. As appropriate, contribute to or influence company policies and provide guidance and training where necessary. Provide legal advice on data protection law. Provide advice regarding protection of company intellectual property including registration and protection of trade marks, protection of developed IP, open source and licensing. Support the business by managing customer escalations, disputes or litigation. Handle corporate matters from Joint Ventures, Mergers and Acquisitions, Company Formation, Inter-Company arrangements. Work with Finance and tax to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies. Support HR, Marketing and Procurement. Work with external legal advisors driving cost effective, pertinent expert advice. Should have a J.D. degree from an ABA accredited law school. International law experience and prior experience of the technology sector required. Commercial contracts expertise is needed. Should have proof of active Bar membership in good standing. Experience working with an international company is essential. Must have willingness to travel internationally on an as needed basis.
