Contracts and Licensing Attorney The candidate s responsibilities will include (i) being the primary point of contact on legal contract issues for one or more company departments; (ii) drafting and negotiating contracts, software licenses and other legal documents in support of a broad range of client groups which may include H&R, Manufacturing and IT; and (iii) working closely with the existing Corporate Legal team to support other projects and work as needed. Draft and negotiate a wide range of legal documents typical of a biotech or pharmaceutical research organization including license agreements, software as a service (Saas) agreements, banking-related agreements with financial institutions and supply agreements and various vendor services agreements. Advise the company s internal clients on contract interpretation, dispute resolution, IP ownership and other legal risks. Assist with the development of policies and procedures, and standard template language to be used in contracts. Train and advise contract specialists in the Corporate Legal department on the preparation, negotiation and execution of form-based documents. Willingness and ability to work with and coordinate activities across a large number of individuals across various departments throughout the company s domestic and international subsidiaries in Europe, Latin America and Asia. Appropriately triage a heavy workflow, setting appropriate priorities with clients and delivering results efficiently. Exercise mature and reliable judgment while enjoying the company's enthusiastic, informal and fast-paced environment. Juris Doctorate from a nationally recognized law school required. Admitted to practice in the state preferred. BS in life sciences or related field preferred. 4+ years in a national law firm and/or in-house experience drafting and negotiating complex agreements (preferably experience with transactions in the biotechnology or pharmaceutical industry) required. Exceptional and demonstrated written and verbal communication skills and attention to detail required. Skills at drafting and negotiating a variety of contracts and licensing agreements required.
