Corporate Attorney The candidate will review, draft and negotiate complex agreements for a broad range of commercial transactions (including hardware/software agreements, SaaS agreements, hosting agreements, managed services agreements, etc.). Will act as the legal advisor for the global business teams. Negotiate complex legal, commercial and financial terms. Support the global channel strategy and associated agreements; research and advise on matters relevant to the company s business, ensuring compliance at all times with the company s legal, financial and risk management policies and procedures. Instruct and manage external counsel in the resolution of commercial disputes; prepare and deliver presentations to employees on legal topics of interest; and other responsibilities as assigned. Provide legal support and guidance to a global organization on a broad range of commercial, corporate, employment, compliance, and other transactional matters as required. Provide legal support for the company s global channel program. Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company s business and strategic objectives. Develop a comprehensive understanding of the company s business and business practices; engage in a participative and proactive style of legal practice in order to best serve internal clients. Gain the trust of senior management while reporting directly to and working closely with the company s General Counsel. Provide dedicated support to the global business teams. May act as liaison with outside counsel engaged for specific purposes or projects. The candidate should have a Juris Doctor degree. Must have 5+ years of legal experience. Admission to the Bar of at least one state (preferably MN) essential. Experience drafting and negotiating sophisticated contracts, particularly with regard to commercial sales required. Experience working with software agreements, including licensing, SaaS, hosting and managed services agreements preferred. Superior written and verbal communication skills desired. Prior in house and/or channel experience is a plus. Knowledge of privacy and information security regulations a plus.
