Corporate Counsel The candidate will be involved in structuring and negotiating corporate and commercial transactions; drafting, reviewing and negotiating related agreements and documents; and advising on corporate legal and business matters, including mergers and acquisitions, debt and equity financing and investment transactions, and other corporate and commercial matters. Assist with the Company s Securities and Exchange Commission filing and regulatory requirements, including drafting and reviewing periodic SEC filings and assisting with SEC regulatory matters. Draft, review and negotiate asset purchase agreements, merger agreements and other transactional documents, and lead and assist in the Company s due diligence efforts with respect to corporate, M&A and commercial transactions. Draft, review and negotiate agreements related to financing transactions and ongoing compliance requirements. Work with the Finance group and other Company departments related to SEC matters, and provide advice to senior management and other management regarding SEC matters. Provide legal advice to senior management and other management regarding various corporate and business matters.

The candidate should have JD degree from an accredited school of law with a strong academic record. Admitted to practice in Texas with good standing. Must have 7-10 years of experience in corporate, securities and M&A legal practice, ideally with a combination of law firm and in-house experience. Prior experience in software, technology, payments or real estate industries preferred. Prior experience with international transactional and business matters a plus. Strong interpersonal skills and the ability to work well in a team environment required. Excellent written and verbal communication skills essential.
