Corporate Counsel The candidate will represent firm in all corporate and commercial matters, including transactional matters involving acquisition of goods and services for firm. Will also hone corporate law expertise by providing advice and guidance to the business functions of firm, including business development. Counsel will partner with Supply Chain and provide expertise and guidance in contract negotiations for a wide range of products and services including construction-related contracts, long-term operating and maintenance agreements and software licenses. Conduct due diligence efforts in connection with firm s business development activities and provide commercial and transactional support on behalf of our business development function. Collaborate with and provide legal advice to other areas of the business, including issues related to operations and regulatory matters involving industry compliance. Build positive working with opposing counsel, agency staff counsel, and counsel for firm s customers, maintaining impeccable ethical standards and promoting a positive image of firm to the public. Support corporate governance program and the laws and regulations that govern firm in an environment that supports ethical decision-making and compliance. The candidate should have Juris Doctorate from an accredited law school. Admission to the Wisconsin Bar will be required. Admission to the Bars of other States in which firm operates (currently Michigan, Minnesota, and Illinois) a plus. Must have 3+ years experience in corporate and commercial matters. Must have significant experience in drafting legal documents such as contracts. Experience negotiating contracts and representing clients in M&A transactions a plus. Experience with regulation of public utilities a plus. Proficiency in Microsoft Office applications and Westlaw a plus.
